CEDAR SPRINGS HOME OWNERS ASSOCIATION
Board Minutes, January 22, 2007

Called to order at 7PM
All officers and member Jan Berry were present
Minutes of previous meeting were approved as printed.

President Sellen
Updated Board on HOA Issues
1. Recommended changes in Bylaws.
2. Recommended change in CC&R’s
3. Status of House Rules
4. Suggestions for homeowner’s emergencies.
5. Gutter cleaning, timing and cost (see VP report).
6. Issues of late and missed payments of dues to HOA.
7. Budget for Annual meeting.

Treasurer’s Report, Art Shotwell
Late payment by members is in the thousands of dollars and presents significant stress to the budget and officers. This will be addressed by the president and treasurer by:
(1) Meeting with Furin and Co. about notices and fines.
(2) Language changes in CC&R’s to increase fines presented at Annual Meeting. 12.2 Payment by Owners “Any unpaid assessment or charge shall bear a late fee established in the Bylaws, but not to exceed $25, to be assessed each month until paid.
(3) Revise Bylaws to establish late fee and time of assessment. Special mailing following action by Annual meeting and Board to communicate new policy.

Vice President Taylor
Updated Board on efforts to deal with gutter problems in areas with trees. Alex Taylor was given approval to install “Leaves-Away Gutter Guards,” at his own expense, on units 1909 and 1907. This will be a test to see if the Guards are maintenance free and give permanent protection. The HOA spends in excess of $1400 cleaning gutters. The timing of this is difficult as it is hard to wait until all the leaves have fallen. Individuals have found it necessary to clean their own gutters three times a year. Alex Taylor will report to the Board as to the cost effectiveness of the Gutter Guards.

Annual Meeting Discussion:
Advise members to post an emergency list on refrigerator or in close proximity. A copy of the recommended list will be shared at meeting with discussion.

Annual Meeting nomination and election of officers.
To date the following individuals have indicated that they are willing to stand for election to the HOA Board. Jan Berry, Vince Sellen, Art Shotwell*, Alex Taylor,
Jean Thomas. Additional nominations may be made by contacting VP Taylor at 588 9469 or at the Annual meeting. Specific positions are made by the Board.
*Art has agreed to only one more year as Treasurer and would like a member to ‘shadow’ him to learn the duties.
